Terms & Conditions for Spendwise Pro

Please read these Terms & Conditions (“Terms”, “Terms of Service”) carefully before using the Spendwise Pro mobile application (the “App”) operated by Fusedlogic Innovations Pvt Ltd. (“us”, “we”, or “our”).

Your access to and use of the App is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the App.

By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the App.

1. Your Data and Privacy

Spendwise Pro is designed as an offline-first application. This means:

  • All your personal financial data (transactions, accounts, categories, budgets, savings goals, etc.) is stored exclusively on your device. We do not collect, transmit, or store this sensitive financial data on our servers or any third-party cloud services.
  • You are solely responsible for the security of your device and any local backups you create and store or export.
  • If you uninstall the App, your local data will be deleted unless you have created and maintained an external backup.
  • Any information you choose to provide for the AI chatbot or voice command features is processed by third-party AI services for immediate response and is not stored by us. Please refer to our Privacy Policy for details on how limited non-financial data (like device information for advertising or aggregated usage data) may be handled.

2. App Use and License

a. License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, strictly in accordance with these Terms.

b. User Responsibilities: * You are responsible for maintaining the confidentiality of your local PIN and security answers. We cannot recover your PIN if forgotten without your security answers. * You must use the App in compliance with all applicable laws and regulations. * You agree not to misuse the App, including but not limited to: * Attempting to gain unauthorized access to the App’s systems or other users’ data. * Interfering with or disrupting the integrity or performance of the App. * Using the App for any illegal or unauthorized purpose. * Distributing viruses or any other harmful computer code through the App.

3. Intellectual Property

The App, its original content, features, and functionality are and will remain the exclusive property of Fusedlogic Innovations pvt Ltd and its licensors. The App is protected by copyright, trademark, and other laws of both India and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Fusedlogic Innovations Pvt Ltd.

4. Subscription Model & Monetization

a. Premium Features: Spendwise Pro may offer premium features that require a paid subscription. Details regarding subscription plans, pricing, and renewal terms will be presented within the App or on our website. b. Payment: By subscribing, you agree to pay the applicable subscription fees. Payments will be processed through the respective app store’s payment gateway (e.g., Google Play, Apple App Store). c. Cancellations & Refunds: Subscription cancellations and refund policies are governed by the terms of the respective app store through which you made the purchase. d. Advertisements: The App may display advertisements from Google AdMob or other third-party ad networks. By using the App, you acknowledge and agree to the display of such advertisements. We are not responsible for the content of third-party advertisements.

5. Third-Party Links & Services

The App may contain links to third-party websites or services that are not owned or controlled by Fusedlogic Innovations Pvt Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Fusedlogic Innovations Pvt Ltd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.

6. AI & Chatbot Feature Disclaimers

a. Informational Purpose: The AI-driven budgeting, savings insights, and financial assistance provided by the chatbot are for informational purposes only. They are not financial advice, investment advice, or tax advice. You should consult with a qualified financial professional for personalized advice. b. No Guarantees: We do not guarantee the accuracy, completeness, or usefulness of any information or recommendations provided by the AI. You are solely responsible for your financial decisions. c. Voice Command Accuracy: While we strive for accuracy, voice command recognition may not always be perfect due to factors like accents, background noise, or unclear speech.

7. No Warranties

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE APP IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR COURSE OF PERFORMANCE.

FUSEDLOGIC INNOVATIONS PVT LTD DOES NOT WARRANT THAT A) THE APP WILL FUNCTION UNINTERRUPTED, SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE APP WILL MEET YOUR REQUIREMENTS.

8. Limitation of Liability

IN NO EVENT SHALL FUSEDLOGIC INNOVATIONS PVT LTD, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

9. Indemnification

You agree to defend, indemnify and hold harmless Fusedlogic Innovations Pvt Ltd and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the App, by you or any person using your account and PIN; b) a breach of these Terms.

10. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the App.
